Blueliners Club Bylaws

Article 1: Name
The Name of this organization shall be The Blueliners Club.
Article 2: Meetings
The Blueliners Club shall meet monthly. Generally this will be the 3rd Tuesday of each month with the exception of the month of December, at which time the monthly meeting will be held on the 2nd Tuesday of the month. The location for the meetings will alternate between MSAD 15 and Union 29. Meetings will begin promptly at 6:30 PM.
Article 3: Purpose
The purpose of this organization is to facilitate the development of sportsmanship skills, cooperation and responsibility through the sport of Ice Hockey for students in grades 5 through 12. We will provide certified coaches who will be accessible to all team members.
Article 4: Membership
The membership shall be made up of students in grades 5 through 12, along with their parents or guardians, that are attending Union 29 or MSAD 15 school systems or are domiciled within the previously mentioned school districts. Exceptions to these boundaries shall be handled on a case-by-case basis.
Article 5: Amending the By-Laws
The By-Laws may be amended by a majority vote of the membership in attendance, provided such proposed amendment is placed before the Board at the previous meeting. By-Laws will be reviewed annually.
Article 6: Quorum
No action may be taken which is binding upon the membership unless a quorum is present. A quorum will be a simple majority of Officers & Board Members.
Article 7: Induction of Board Members

April-Voting by general membership to determine Board Members
The Board is a republic and will elect it’s own Executive Officers.
Article 8: Resignation
Any Officer or Board Member may resign at any time. Such resignation shall be made in writing and shall take effect at the time specified. The President will appoint a replacement at his or her discretion.
Article 9: Committees
The Board of Directors shall establish committees as necessary. Each committee will have at least 1 Board Member as a member of the committee. A representative of the committee shall report at the monthly Board Meeting.
Article 10: Fiscal Year
The fiscal year shall be 15 April to 14 April of the following year.
Article 11: Executive Officers:
The Executive Officers shall be a President, a Vice-President, a Secretary and a Treasurer. The term for Executive Officers will be no more than two consecutive 1-year terms. Any Executive Officer that is absent from 3 consecutive Board Meetings may have their duties terminated. The President may appoint a Board Member as a replacement at his or her discretion.
President:
The qualifications of the President shall be 1 year of prior service as an Executive Officer or Board Member. The duties of the President shall be to preside at meetings, appoint committees, represent this organization when necessary, administer the policies as laid down in it’s By-Laws & have authority to sign checks for payment of invoices.
Vice-President:
The duties of the Vice-President shall be to preside at meetings when the President is absent, to perform the duties of the President if she or he is incapacitated, to assist the President as needed & to secure a meeting place for meetings and functions.
Secretary:
The duties of the Secretary shall be to keep a record of the membership, record the minutes of each meeting & to carry out the necessary club correspondence. Minutes should be forwarded to the Executive Officers and Board Members for review prior to next scheduled meeting.
Treasurer:
The duties of the Treasurer shall be to keep full and accurate accounts of receipts and payments, to deposit all monies into the Blueliners account, to give a report of the financial condition of the Blueliners at the monthly Board Meetings & to disburse funds upon receipt of invoices. An Annual Report will be provided at the end of the fiscal year.
Article 12: Board Members
Up to six Board Members will have voting privileges at all Board Meetings. Their duties shall be to assist the Executive Board in carrying out the policies laid down in the By-Laws, and perform related duties. Any Board Member that is absent from three consecutive Board Meetings may have their duties terminated. The President may appoint a replacement at his or her discretion.
